"My News 4 Free" Extension This End-User License Agreement ("EULA") is a legal agreement between you (referred to as "You" or "User") and T.Z E-commerce LTD. (hereafter referred to as "Licensor") for the use of the "My News 4 Free" Extension (the "Software") which includes computer software and may include associated media, printed materials, and online or electronic documentation. By installing, accessing, or using the Software, you agree to be bound by the terms and conditions of this EULA.
1.1. License Grant:
T.Z E-commerce grants you a non-exclusive, non-transferable, revocable license to install and use the Extension solely for your personal, non-commercial purposes, subject to the terms and conditions of this Agreement.
1.2. Restrictions:
This license does not grant you the right to modify, distribute, or sublicense the Extension, or any part of it, except as expressly permitted by applicable law or with T.Z E-commerce's prior written consent.
2.1. Information Collection:
By using the Extension, you acknowledge and agree that T.Z E-commerce may collect and use certain information about you as described in the Extension's Privacy Policy. You hereby consent to the collection, use, storage, and disclosure of your information as described in the Privacy Policy.
2.2. Data Handling:
T.Z E-commerce will handle your personal information in accordance with applicable data protection laws and regulations.
3.1. Ownership:
The Extension, including but not limited to its design, text, graphics, images, and all software and source code underlying the Extension, are the intellectual property of T.Z E-commerce and are protected by intellectual property laws.
3.2. Restrictions:
You agree not to reproduce, modify, distribute, display, perform, or create derivative works of the Extension, in whole or in part, without the prior written consent of T.Z E-commerce.
4.1. As-Is Basis:
The Extension is provided on an "as is" and "as available" basis. T.Z E-commerce does not warrant that the Extension will be error-free, uninterrupted, or free from viruses or other harmful components. To the extent permitted by law, T.Z E-commerce disclaims all warranties, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
5.1. Exclusion of Damages:
To the maximum extent permitted by law, in no event shall T.Z E-commerce be liable to you or any third party for any indirect, consequential, incidental, special, or punitive damages arising out of or in connection with the use of the Extension, even if T.Z E-commerce has been advised of the possibility of such damages.
5.2. Limitation of Liability:
T.Z E-commerce's total liability under this Agreement, whether in contract, tort, or otherwise, shall not exceed the amount paid by you, if any, for the use of the Extension.
6.1. Termination:
This Agreement is effective until terminated. You may terminate this Agreement by uninstalling the Extension.
6.2. Termination by T.Z E-commerce:
T.Z E-commerce may terminate this Agreement at any time without notice if you breach any provision of this Agreement.
6.3. Consequences of Termination:
Upon termination, you must immediately cease all use of the Extension and uninstall it from your devices.
7.1. Updates:
T.Z E-commerce reserves the right to update or modify the Extension at any time, with or without prior notice to you. Such updates or modifications may include bug fixes, enhancements, or new features.
7.2. Support Obligations:
You understand and agree that T.Z E-commerce has no obligation to provide maintenance, support, or updates for the Extension, except as expressly stated in this Agreement.
8.1. Indemnity Obligation:
You agree to indemnify, defend, and hold harmless T.Z E-commerce, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) Your use of the Extension; (b) Your violation of any provision of this Agreement; (c) Your violation of any third-party rights, including intellectual property rights; or (d) Your breach of any applicable laws or regulations.
8.2. Defense Rights:
T.Z E-commerce reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such a case, you agree to cooperate with T.Z E-commerce's defense of such claims.
9.1. Third-Party Websites and Services:
The Extension may include links to third-party websites, services, or resources that are not under the control of T.Z E-commerce. You acknowledge and agree that T.Z E-commerce is not responsible for the availability, content, or accuracy of such third-party websites, services, or resources.
9.2. Use at Own Risk:
Any access to and use of such third-party services, websites, or resources is solely at your own risk. T.Z E-commerce does not endorse or warrant the offerings of these third-party entities and shall not be liable for any damage or loss arising from your use of or reliance on such third-party services, websites, or resources.
9.3. Third-Party Transactions:
You acknowledge and agree that any interactions between you and any third-party providers are strictly between you and the third party, and T.Z E-commerce shall not be responsible for any agreements, transactions, or disputes between you and such third parties.
10.1. Export Obligations:
You agree to comply with all applicable export control laws and regulations regarding the use of the Extension. Without limiting the generality of the foregoing, you shall not export or re-export the Extension to any country, individual, or entity to which such export or re-export is prohibited under the export control laws and regulations of the United States or any other applicable jurisdiction.
10.2. Representations:
By installing or using the Extension, you represent and warrant that:
(a) You are not a citizen or resident of, or located in, any country or territory that is subject to U.S. Government sanctions or embargoes or listed on any U.S. Government restricted party lists;
(b) You are not identified on any U.S. Government denied-party list or prohibited end-user list;
(c) You will not use the Extension in any way that violates applicable export control laws or regulations; and
(d) You will not use the Extension for any purpose prohibited by such laws or regulations.
11.1. Applicable Law:
This Agreement and any dispute arising out of or in connection with this Agreement, including but not limited to its validity, interpretation, performance, and termination, shall be governed by and construed in accordance with the laws of Israel, excluding its conflict of laws principles.
11.2. Exclusive Jurisdiction:
Any action or proceeding arising out of or relating to this Agreement shall be brought exclusively in the competent courts located in Tel Aviv, Israel, and you expressly consent to the personal jurisdiction and venue in those courts for such purposes.
12.1. Entire Agreement:
This Agreement constitutes the entire understanding between you and T.Z E-commerce concerning the subject matter hereof and supersedes all prior or contemporaneous understandings, agreements, representations, or warranties, whether oral or written.
12.2. No Waiver:
The failure of T.Z E-commerce to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.
12.3. Severability:
If any provision of this Agreement is held to be invalid, illegal, or unenforceable under applicable law, the remaining provisions shall remain in full force and effect.
12.4. No Assignment:
You may not assign or transfer any rights or obligations under this Agreement without the prior written consent of T.Z E-commerce. T.Z E-commerce may freely assign or transfer this Agreement or any of its rights or obligations hereunder without your consent.
12.5. Binding Effect:
This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors and assigns.
